These Terms of Service (“Terms”) govern your use of the authenticity.media platform operated by Imperial Leisure Limited, a company registered in England and Wales (“Imperial Leisure”, “we”, “our”, “us”). By registering an account or using our Services, you agree to these Terms. Please read them carefully.
These Terms are divided into two parts: Part 1 applies to Brands and Part 2 applies to Creators. Both parts apply to you where relevant. Definitions used in both parts are set out at the start of each Part.
Part 1 — Terms for Brands
1. Definitions
In these Terms, the following words have the meanings given to them below:
- “Brand” means a prospective, current or past customer who registers an account on authenticity.media to post Opportunities and engage Creators.
- “Creator” means an individual or business registered on authenticity.media to provide services to Brands.
- “Facilitation Services” means the platform services we provide to Brands to facilitate introductions with Creators, as further described in clause 2.
- “Opportunity” means a brief, project description or request posted by a Brand through which Creators may express interest in providing services.
- “Services” means the services provided by a Creator to a Brand directly under a separate agreement between them.
- “Website” means www.authenticity.media and any associated mobile applications or APIs.
2. The Facilitation Services
2.1 We provide a platform that facilitates introductions between Brands and Creators. We are not a party to any contract between you and a Creator. Any agreement for the provision of services is solely between you and the relevant Creator.
2.2 The Facilitation Services are provided to Brands at no charge. We reserve the right to introduce fees for future features or service tiers, in which case we will give you reasonable prior notice.
2.3 When you post an Opportunity, relevant Creators may respond. We do not guarantee any minimum number of responses or that any Creator will meet your requirements.
2.4 You are solely responsible for independently evaluating any Creator before engaging them. We do not endorse, verify the qualifications of, or guarantee the performance of any Creator.
2.5 Any contract for services is formed directly between you and the Creator. We have no involvement in, or liability for, the performance of any such contract.
2.6 If you use the messaging or communication features of our platform, you acknowledge that communications are facilitated by us but that any commitments or agreements arising from those communications are between you and the Creator directly.
3. Reviews and ratings
3.1 You may leave reviews and ratings of Creators on the platform following an engagement. Any review you submit must be honest, accurate, and based on your genuine experience of working with that Creator.
3.2 Creators may also leave reviews and ratings of Brands on the platform. You acknowledge that we may display such reviews on your Brand profile.
3.3 If you believe a review left by a Creator is false or defamatory, you may report it to us at hello@authenticity.media. We will investigate and, where appropriate, remove the review.
3.4 We reserve the right to remove any review — whether submitted by a Brand or a Creator — that we consider to be false, defamatory, offensive, or otherwise in breach of these Terms.
3.5 You must not submit false reviews of Creators, or offer any incentive to a Creator in exchange for a positive review.
4. Brands’ obligations
4.1 When using the platform you agree to:
- provide accurate, complete and up-to-date information in your account and in any Opportunity you post;
- use the platform only for lawful purposes and in compliance with all applicable laws and regulations;
- not contact a Creator through channels outside our platform in order to circumvent our Facilitation Services once an introduction has been made through our platform;
- treat Creators with respect and not engage in harassment, discrimination, or abusive conduct;
- not post Opportunities that are misleading, fraudulent, or that relate to illegal activities;
- not attempt to access other users’ accounts or data without authorisation;
- not use automated means to scrape, extract, or harvest data from the platform.
5. Enhanced service
5.1 Brands who wish to access our managed or enhanced services (“Enhanced Service”) will be required to enter into a separate written agreement with Imperial Leisure Limited. These Terms do not govern any Enhanced Service arrangement.
5.2 Nothing in these Terms creates any obligation on Imperial Leisure to provide any Enhanced Service to any Brand.
6. Ending the contract
6.1 You may stop using the platform at any time. You may close your account by contacting us at hello@authenticity.media.
6.2 We may suspend or terminate your access to the platform immediately if:
- you breach any provision of these Terms;
- you provide false or misleading information;
- your use of the platform creates legal liability for us or for any third party;
- we are required to do so by law or a court or regulatory authority; or
- we discontinue the platform or a material part of it.
6.3 Termination does not affect any rights or obligations that have already accrued.
7. Liability
7.1 We provide the Facilitation Services as an introduction platform only. We do not supervise, direct, or control Creators, and we make no representations or warranties as to the quality, suitability, timeliness, or legality of any services provided by a Creator.
7.2 Nothing in these Terms excludes or limits our liability for: (a) death or personal injury caused by our negligence; (b) fraud or fraudulent misrepresentation; or (c) any other liability that cannot be excluded or limited by applicable law.
7.3 Subject to clause 7.2, we will not be liable to you for any:
- loss of profits, revenue, or anticipated savings;
- loss of business or contracts;
- loss of goodwill or reputation;
- indirect or consequential loss; or
- any loss arising from your reliance on a Creator’s profile, reviews, or representations.
7.4 Our total aggregate liability to you in connection with the Facilitation Services shall not exceed £100.
7.5 You agree to indemnify us against any claims, losses, or expenses arising from your use of the platform in breach of these Terms or applicable law.
8. Data protection
8.1 We process personal data in accordance with our Privacy Notice, which forms part of these Terms. Please read it carefully.
8.2 When you post an Opportunity, personal data included in that Opportunity may be shared with Creators who respond to it. Please ensure you do not include unnecessary personal data in an Opportunity.
9. Governing law
9.1 These Terms and any dispute or claim arising in connection with them (including non-contractual disputes) shall be governed by and construed in accordance with the laws of England and Wales.
9.2 The courts of England and Wales shall have non-exclusive jurisdiction to settle any such dispute.
10. General
10.1 We may update these Terms from time to time. We will notify you of material changes by email or by a prominent notice on the platform. Your continued use of the platform after any change constitutes acceptance of the updated Terms.
10.2 If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
10.3 Our failure to enforce any provision of these Terms shall not constitute a waiver of our right to enforce it in the future.
10.4 If you have a complaint about our Services, please contact us at hello@authenticity.media. We will endeavour to respond within 7 business days.
10.5 These Terms, together with our Privacy Notice, constitute the entire agreement between you and us in relation to the Facilitation Services and supersede all previous agreements.
10.6 If you believe that content on the platform infringes your intellectual property rights or is otherwise unlawful, please submit a notice in accordance with the takedown notice process set out in clause 9 of Part 2 of these Terms.
Part 2 — Terms for Creators
1. Independent contractor status
1.1 CREATORS ARE INDEPENDENT CONTRACTORS. YOU ARE NOT AN EMPLOYEE, WORKER, AGENT, PARTNER, OR JOINT VENTURER OF IMPERIAL LEISURE LIMITED. NOTHING IN THESE TERMS SHALL CREATE OR BE DEEMED TO CREATE ANY EMPLOYMENT, WORKER, OR AGENCY RELATIONSHIP BETWEEN YOU AND IMPERIAL LEISURE LIMITED.
1.2 As an independent contractor, you are responsible for all of your own tax obligations, national insurance contributions, business licences, professional indemnity and other insurance, and all other obligations arising from your self-employed or business status.
2. Definitions
In Part 2, the following words have the meanings given to them below:
- “Brand” means a customer who has registered an account on authenticity.media to post Opportunities.
- “Creator” means you — an individual or business entity registered on authenticity.media to provide services to Brands.
- “Facilitation Services” means the platform services we provide to Creators to facilitate introductions with Brands.
- “Opportunity” means a brief, project description or request posted by a Brand to which you may respond.
- “Services” means the services you provide to a Brand directly under a separate agreement between you and that Brand.
- “Website” means www.authenticity.media and any associated mobile applications or APIs.
3. Registration and eligibility
3.1 To register as a Creator you must:
- be at least 18 years of age or, if a business entity, be duly incorporated or registered under applicable law;
- be self-employed or operating as a business — the platform is not intended for consumers acting in a personal capacity;
- hold all licences, certifications, and registrations required by applicable law to provide the services you advertise on the platform;
- have adequate professional indemnity or other relevant insurance in place where required by law or good practice for your sector;
- have the unrestricted legal right to work in the jurisdiction(s) in which you offer services; and
- provide accurate, truthful, and complete information in your profile and in any response to an Opportunity.
3.2 By registering, you represent and warrant that you meet all of the requirements in clause 3.1 and that you will keep your profile and account information accurate and up to date at all times.
3.3 You may not:
- register multiple accounts without our prior written consent;
- use another person’s identity or misrepresent your qualifications or experience;
- re-register after your account has been suspended or terminated by us; or
- register on behalf of another individual without their express authorisation.
4. Creator obligations
4.1 When using the platform and when providing Services to Brands, you agree to:
- act with professionalism, integrity, and due care in all dealings with Brands and with us;
- provide Services under your own name or business name, and make clear to Brands that Services are provided by you and not by authenticity.media;
- fulfil any commitments you make to a Brand in a timely and professional manner;
- comply with all applicable laws, regulations, and professional standards relevant to your services;
- cooperate with us in any investigation into complaints about your conduct or Services;
- not engage in harassment, discrimination, or abusive conduct towards Brands or other users;
- not solicit Brands to move communications or transactions off-platform in order to circumvent our Facilitation Services; and
- not submit false or fabricated reviews of other Creators or of Brands.
5. Creator freedoms
5.1 As an independent contractor, you are free to:
- set your own rates and terms for the Services you provide to Brands;
- maintain and develop your own independent client base outside the platform;
- offer your services on any other platform or marketplace;
- accept or decline any Opportunity at your sole discretion without penalty; and
- negotiate directly with Brands on the scope, terms, and price of any engagement.
6. Responding to Opportunities
6.1 The Facilitation Services are provided to Creators at no charge. We do not charge you to register or to respond to Opportunities.
6.2 When you respond to an Opportunity, we may share your profile and contact details with the relevant Brand. Provision of that introduction fulfils our obligation under these Terms in relation to that Opportunity.
6.3 We do not guarantee that you will be engaged by any Brand, that you will receive any minimum number of Opportunities, or that any introduction will result in a contract.
6.4 Any contract for the provision of Services is formed directly between you and the Brand. We have no involvement in, and accept no liability for, the performance of any such contract.
7. Reviews and ratings
7.1 Brands may leave reviews and ratings of your Services on the platform. You acknowledge that we may display such reviews on your profile.
7.2 If you believe a review is false or defamatory, you may report it to us at hello@authenticity.media. We will investigate and, where appropriate, remove the review.
7.3 You must not submit false reviews of Brands, other Creators, or of our platform.
8. Intellectual property
8.1 You retain ownership of all content you upload to the platform, including your profile, portfolio materials, and any other content (“Creator Content”).
8.2 By uploading Creator Content, you grant Imperial Leisure Limited a non-exclusive, worldwide, royalty-free, sublicensable licence to use, display, reproduce, and distribute that Creator Content on our platform and in our marketing materials for the purpose of operating and promoting the platform.
8.3 You warrant that you own or have the right to grant the licence in clause 8.2, and that Creator Content does not infringe any third party’s intellectual property rights.
8.4 You may not copy, modify, distribute, or create derivative works from our platform or website content without our prior written consent.
9. Takedown notices
9.1 If you believe that content on the platform infringes your copyright or other intellectual property rights, or is otherwise unlawful, you may submit a takedown notice to us at hello@authenticity.media with the subject line “Takedown Notice”.
9.2 Your notice must include:
- your name and contact details (email address and, where applicable, postal address);
- identification of the work or other material you claim has been infringed or, if multiple works, a representative list;
- identification of the content on the platform that you claim is infringing, with sufficient detail for us to locate it (for example, a URL or a clear description of where it appears);
- a statement that you have a good-faith belief that the use of the content is not authorised by the rights-holder, their agent, or by law; and
- a statement that the information in your notice is accurate and, where you are acting on behalf of the rights-holder, that you are authorised to do so.
9.3 On receipt of a valid notice, we will investigate and, where we determine the content is infringing or otherwise unlawful, we will act expeditiously to remove or disable access to it. We will, where possible, notify the user who uploaded the content.
9.4 If you are a Creator and you believe that content has been removed as a result of a mistake or misidentification, you may submit a counter-notice to hello@authenticity.media with the subject line “Counter-Notice”. Your counter-notice must include:
- your name and contact details;
- identification of the content that has been removed and its location on the platform before removal;
- a statement that you have a good-faith belief that the content was removed as a result of a mistake or misidentification; and
- your consent to the jurisdiction of the courts of England and Wales for any dispute arising from the counter-notice.
9.5 We will consider any counter-notice received and may restore the content at our discretion, having regard to the competing interests of both parties.
9.6 We operate a repeat infringer policy. We will terminate or suspend the accounts of users who are found to be repeat infringers of third-party intellectual property rights.
10. Data protection
10.1 We process personal data in accordance with our Privacy Notice. Please read it carefully.
10.2 In the course of providing Services to Brands, you may receive personal data relating to Brand representatives or other individuals. You must:
- process any such personal data only for the purpose of providing the Services and in compliance with all applicable data protection laws;
- keep that personal data secure and not disclose it to any unauthorised third party; and
- not use Brand contact details obtained through our platform for any purpose other than performing the relevant Services.
11. Liability and indemnification
11.1 You are solely and directly responsible to Brands for the quality, safety, timeliness, and legality of any Services you provide. We accept no liability for your Services.
11.2 Nothing in these Terms excludes or limits our liability for: (a) death or personal injury caused by our negligence; (b) fraud or fraudulent misrepresentation; or (c) any other liability that cannot be excluded or limited by applicable law.
11.3 Subject to clause 11.2, we will not be liable to you for any:
- loss of profits, revenue, contracts, or anticipated earnings;
- loss of business or clientele;
- loss of goodwill or reputation;
- indirect or consequential loss; or
- any loss arising from a Brand’s failure to engage you or to perform under a contract with you.
11.4 Our total aggregate liability to you in connection with the Facilitation Services shall not exceed £100.
11.5 You agree to indemnify, defend, and hold harmless Imperial Leisure Limited and its officers, directors, employees, and agents against any and all claims, losses, damages, liabilities, costs, and expenses (including reasonable legal fees) arising from or relating to:
- your breach of these Terms;
- any Services you provide (or fail to provide) to a Brand;
- any claim by a Brand or third party arising from your conduct or your Services; or
- any infringement of a third party’s intellectual property or other rights by your Creator Content.
12. Termination
12.1 You may close your account at any time by contacting us at hello@authenticity.media.
12.2 We may suspend or terminate your account immediately if:
- you breach any provision of these Terms;
- you provide false or misleading information in your profile or in any response to an Opportunity;
- we receive a disproportionate number of valid complaints about your conduct or Services;
- you upload unlawful content or operate an unlicensed business;
- your use of the platform creates legal liability for us or for any third party; or
- we are required to do so by law or a court or regulatory authority.
12.3 On termination, your account and profile will be deactivated. We may retain data as described in our Privacy Notice.
13. Governing law
13.1 These Terms and any dispute or claim arising in connection with them (including non-contractual disputes) shall be governed by and construed in accordance with the laws of England and Wales.
13.2 The courts of England and Wales shall have non-exclusive jurisdiction to settle any such dispute.
